Our Board of Directors has approved a significant strategic repositioning, and we want to be transparent with our advisor partners and investors about what it means and why we're genuinely excited about what comes next.

What's Changing

Effective January 1, 2026, Medalist has revoked its REIT tax election and transitioned to a standard C-corporation structure. On March 2, 2026, we will officially change our corporate name from Medalist Diversified REIT, Inc. to Medalist Diversified, Inc. — while retaining our NASDAQ listing and existing ticker symbol, MDRR.

This is more than a name change. It's a deliberate evolution toward a cleaner, more flexible structure built to serve our DST investors and advisor partners better than ever.

Why This is Great News for Investors and Advisors

1. Zero Corporate-Level Debt

Over the past two and a half years, we've done the hard work of simplifying our balance sheet. Today, Medalist carries no corporate-level debt and no corporate-level lines of credit. All remaining debt is property-level financing — and we're actively working to reduce or eliminate even that. This gives us extraordinary financial flexibility and stability.

2. More Than $40 Million in Net Asset Value

We currently hold more than $40 million in net asset value consisting of real estate assets and liquid investments, a significant portion of which is liquid or readily deployable. That's a strong foundation to build from.

3. Greater Flexibility to Grow Our DST Platform

The REIT structure, while valuable in its time, came with mandatory distribution requirements and asset and income tests that could limit business activities. As a C-corporation, we can allocate capital more dynamically — and that means a stronger, more agile DST sponsorship platform for the advisors and investors who depend on us.

4. Public Company Transparency — Still Intact

Nothing changes about our commitment to institutional-grade transparency. We still file quarterly 10-Qs and annual 10-Ks with the SEC. Our financials remain audited. Our board remains independent. Every DST offering continues to include a FactRight third-party due diligence report. The governance that sets us apart from private DST sponsors is fully intact.

DST Platform Growth We are continuing to build and expand our DST sponsorship platform, generating fee income from the acquisition, management, and disposition of real estate assets for Section 1031 exchange investors. Our pipeline is active and our team is focused.

Disciplined Treasury Strategy We are deploying liquid assets into treasuries and investment-grade securities to generate steady income while preserving capital — a responsible stewardship approach that benefits the overall health of our platform.

Strategic Acquisitions With a clean balance sheet and public-company positioning, we are well-positioned to act when the right acquisition opportunity emerges to complement our business.
